Contractor Agreement Form

Terms and Conditions

This contract shall be active for a duration of 2 years from the date of signing with a possibility of renewal upon the agreement of both parties at the end of term. Renewal of the contract must be completed at least 60 days prior to the expiration of this contract. Failure to renew the contract in time will not affect current employment status but will remove eligibility to be employed by Healthy Sushi LLC in the future. Early termination of this contract before its maturity will result in the contractor being fined $20,000 plus damages and other related fees.

If Contractor is terminated before two years due to sexual harassment, violence, or failing to pass Health Department Inspection more than 3 times per year, Contractor is accountable to pay more than $5,000 and will no longer be eligible to work at the store.

It is the responsibility of the Contractor to ensure that the store is staffed and adequately stocked with supplies under any circumstances. If for any reason, the contractor is unable to fulfill these duties then the Regional Manager or Owner must be informed. The contractor will be fined $1000 per day that the store is inadequately staffed or staffed by management.

All contractors will have to find their own workers: if their worker(s) get hurt or sick, it is the contractor’s responsibility to pay for the necessary related costs. Worker compensation will not be under Healthy Sushi insurance. If contractors cannot find workers, the contractor will have to apply for a worker compensation waiver certificate in the state of Utah.
Healthy Sushi LLC reserves the right to modify this contract and its contents as deemed necessary. It is the responsibility of the contractor to regularly review this document for any updates or addendums.

Healthy Sushi LLC reserves the right to reclaim any of its stores and terminate a contractor for any reason including but not limited to failure to follow procedure, and failure to pass regular inspections. Fees paid are nonrefundable for reclaimed stores.

If the contractor wishes to resign from his/her duties, he/she must first notify management and they will set a final date of employment. The contractor is expected to perform his/her duties until that date. If these duties are neglected or not properly fulfilled, then the contractor is subject to any penalties that Healthy Sushi LLC may deem appropriate for their loss of revenue/business.
Contractors agree to pay a Franchise Fee and an Inventory Fee to Healthy Sushi LLC. Franchise Fees will be based on the weekly gross profits of the store. However, it is required to pay at least a $1,000 fee for the franchise regardless of the amount the store makes weekly. Inventory Fees must also be paid. These two fees must be paid before Contractor is eligible to begin work.

It is the contractor’s responsibility to pay for supplies. If the contractor is unwilling to pay, Healthy Sushi will deduct money from their paycheck to pay for the order. The payment information will be sent to the collection department if there is no payment left to receive from Healthy Sushi, and the contractor has failed to pay for the orders. Healthy Sushi will no longer be concerned with proceedings after it has been sent to a collection agency.
Contractor must work 7 days a week from 6:00am to 6:00pm. Good Variety At 9:30am -2:00pm and 4pm-6pm. Sushi Case must always be full, as well as before the end of the shift.

The contractor is required to maintain all the necessities at the store, as well as helping and training his/her workers. Contractor must have completed training from Healthy Sushi LLC.

If the contractor disagrees with the percentages calculated by Healthy Sushi LLC, the Contractor can request to review/renegotiate the terms of the agreement after 6 months of employment.

In the event a dispute should arise between Healthy Sushi LLC, and the contractor ______________, it is hereby agreed that the dispute shall be brought before third-party counsel for arbitration. The arbitrators ruling shall be final and binding. In the event a party fails to proceed with arbitration, unsuccessfully challenges the arbitrator’s award, or fails to comply with arbitrator’s award, the other party is entitled to costs of suit including a reasonable attorney’s fee for having to compel arbitration or defend or enforce the award.
